RULES AND REGULATIONS

Woodlands Manor Golf Club (Woodlands Manor) is the property of Unique Leisure & Estates Ltd., (The Management) and is located at Tinker Pot Lane, Woodlands, near Otford, in the County of Kent.

Membership

Membership of Woodlands Manor will be at the discretion of The Management and the Directors. Applicants wishing to apply for membership should complete an application form and return this to the Club Secretary.  Arrangements will be made for Applicants to be interviewed by the Management at a mutually convenient time.

Categories of membership will be at the discretion of The Management and the Directors and full details can be obtained from the Secretary's Office.

The Management at their sole discretion may confer Honorary Membership upon any person.   Honorary Members shall enjoy the same rights as Members.

In the event of any Member refusing or failing to comply with these Rules and Regulations, or in the opinion of The Management, acting in such a manner to as bring discredit, or be prejudicial, to the interests of Woodlands Manor will be liable to expulsion or suspension.  An opportunity will be given to such Member to defend, justify or explain his/her conduct to The Management within a period of ten days of receiving such notice of expulsion or suspension.

Fees

Entrance fees and annual subscriptions will be determined at the discretion of The Management and the Directors.   Entrance fees are non-returnable and no refund of annual subscriptions will be made, except in exceptional circumstances, and upon written application. 

Members taking advantage of direct debit credit facilities are obliged to maintain payments of the instalments in accordance with the Consumer Credit Act (1974).  

A Member having paid his/her entrance fee and annual subscription will be held to have submitted himself/herself to the Rules and Regulations of Woodlands Manor Golf Club and Woodlands Manor Members Ltd.

The annual subscription year commences on the 1st July each year and invitations to renew membership will be posted to each Member prior to the membership expiry date of 30th June each year.   Members who have not paid their annual subscriptions by the due date, are considered to have resigned and will cease to exercise any of the privileges of membership.

Annual General Meeting                      

The Members of Woodlands Manor will hold a General Meeting in every calendar year as its Annual General Meeting at such time as The Management, the Directors  and Members' Committee determine.

The Club Secretary will write to each Member giving at least twenty-eight days notice of the Members' Annual General Meeting, specifying the date, place and hour of the meeting and the business to be transacted.  Notices will also be posted in the Clubhouse. 

The business to be transacted will include :
the appointment the Club Captain
receipt of the accounts for the Members' Account
the appointment  of the Members Account Treasurer
the election  of Committee Members
(a) The quorum for such meetings will be thirty Members. 
(b)  The Chairman of the Annual General Meeting will be the President (see 8.1)

All Members of Woodlands Manor are entitled to one vote.   Any resolution put to the vote of the meeting will be decided on a show of hands or a paper vote if more appropriate.  In the case of equality of votes the  President is entitled to a second and/or casting vote.

Members wishing to submit a proposal for consideration at the Annual General Meeting should submit such proposal to the Club Secretary, duly proposed and seconded, not less than 15 days before the date of the meeting.  All proposals received by the Club Secretary will be posted on the club notice board.

President

The  Members Committee will  nominate the President, in consultation  with the Management.  He/she will normally serve a three-year term from the date of the Annual General Meeting at which he is appointed.

Club Captain and Vice Captain

The  Members Committee will  nominate the Club Captain and Vice Captain, in consultation with the  Management and they will serve a one-year term from the time of their appointment at the Annual General Meeting..   Progression from Vice Captain to Captain is not necessarily an automatic right.

If a lady member is appointed Club Captain, a men's 7-day Captain will also be appointed for that year.

Treasurer to the Members' Account

Nominations for the  role of Treasurer to the Members' Account may be proposed and seconded by any Member entitled to vote at General Meetings, having previously received the assent of such member.   The appointment will take place at the Annual General Meeting for the period to the close of the next AGM.   No member may hold the post of Treasurer for more than three consecutive years.

Committee Members

All elected members serving on the Members' Committee must be current members of Woodlands Manor. 

No member may serve on the Members' Committee for more than three consecutive years unless they are re-elected at an Annual General Meeting or are appointed as one of the Officers.

Nominations for the appointment of Committee Members must be proposed and seconded by any Member entitled to vote at General Meetings, having previously received the assent of such member.

Nominations

The name of each nominee must be submitted in writing to the Club Secretary twenty-one days prior to the date of the Annual General Meeting.   In the event of their being more than one candidate for a Committee vacancy, a ballot will be conducted at the Annual General Meeting and the result declared.

Casual Vacancies

In the event of a casual vacancy in respect of any position on the Members' Committee, the Club Captain, in consultation with The Management, may appoint another eligible person to act for an appropriate period, but not beyond the next Annual General Meeting.

Members' Committee

The Members' Committee will consist of the Officers who are :
the President - who will act as Chairman of the Members' Committee
the Club Captain
the Lady Captain
the Immediate Past Captain
the Treasurer of the Members Account

together with :
the Vice Captain
the Veteran's Captain
the Mid Week Captain

plus elected members who, as delegated by the Club Captain, will have responsibility for :
Major Competitions
Medals and Stablefords
Handicaps
Junior Section
Social Events

Seven members of the Members' Committee will form a quorum and in the case of equality of votes, the President will have the casting vote.

Members of the Members' Committee should act to the best of their ability and in accordance with these Rules and Regulations and those of Woodlands Manor Golf Club.

The Members' Committee may appoint ad hoc working parties, subject to the ultimate control of The Management who  has the right  at its absolute discretion to reject any proposals of the Members' Committee or ad hoc working parties.

It is within the jurisdiction of the Club Captain, after consultation with The Management, to dispense with the services of any member of the Members' Committee, other than the President, whose services may only be dispensed with by the Management.

Attendance

Committee Members are expected to attend all relevant Committee Meetings.

Ladies' Section

In consultation with The Management, no later than twenty-one days before the Annual General Meeting, the Lady Captain will be  nominated by the Ladies' Section Committee and shall be appointed at the Members' Annual General Meeting to serve a term of one year from that date.

The Ladies' Section of Woodlands Manor will be organised by the Lady Captain and Ladies' Section Committee.    The Ladies' Section may establish such positions on their Committee as they see fit, but these should include :
the Secretary
the Treasurer of the Ladies' Section Account

The Ladies' Section Annual Meeting must be held at  least 10 days prior to the Members' Annual General Meeting.

Veterans' Section

In consultation with The Management, no later than twenty-one days before the Annual General Meeting, the Veterans' Captain will be  nominated by the Veterans' Section Committee and shall be appointed at the Members' Annual General Meeting to serve a term of one year from that date.

The Veterans' Section of Woodlands Manor will be organised by the Veterans' Captain and Veterans' Section Committee.    The Veterans' Section may establish such positions on their Committee as they see fit, but these should include :
the Secretary
the Treasurer of the Veterans' Section Account

The Veterans' Section Annual Meeting must be held at  least 10 days prior to the Members' Annual General Meeting.

Mid Week Section

In consultation with The Management, no later than twenty-one days before the Annual General Meeting, the Mid Week Captain will be  nominated by the Mid Week Section Committee and shall be appointed at the Members' Annual General Meeting to serve a term of one year from that date.

The Mid Week Section of Woodlands Manor will be organised by the Mid Week Captain and Mid Week Section Committee.    The Mid Week Section may establish such positions on their Committee as they see fit, but these should include :

the Treasurer of the Mid Week Section Account

The Mid Week Section Annual Meeting must be held at least 10 days prior to the Members' Annual General Meeting.

Rights and Obligations of Members

All Members of Woodlands Manor are bound by these Rules and Regulations and those of Woodlands Manor Golf Club.  

No Member may take away from Woodlands Manor, upon any pretext whatsoever, any property belonging to Woodlands Manor.  Any member breaking or damaging the property of Woodlands Manor will at the discretion of The Management or Members' Committee be called upon to make good such damage and may be asked to resign.

No Member, guest, visitor or member of staff is on any account to bring animals into the Clubhouse.

Children under the age of fourteen (who are not Members) must be supervised by an adult whilst in the Clubhouse or on the course and must conform to the licensing laws currently in force.

Members, guests and visitors should not use the car parks for changing shoes and clothing, but should make use of the changing room facilities.

Members are required to observe the rules of dress as posted in the Clubhouse and as set out in the Club's "Codes, Policies and Procedures", a copy of which can be obtained from the Club Secretary. 

When a Green Keeper is working on the course, he has the right to continue and complete that work, and Members, guests and visitors must wait until the Green Keeper indicates that play can continue.

A Member must not, under any circumstances, approach a member of staff of Woodlands Manor and instruct him/her in any matter whatsoever.

The conduct of a member of staff shall in no instance be made a matter of personal reprimand by any Member.  All complaints regarding staff or domestic arrangements must be made in writing to the Club Secretary who will deal with these matters.

Members must settle all accounts for every expense that they incur before they leave Woodlands Manor.   Members of staff are instructed not to offer credit, open accounts or cash cheques for any Member, guest or visitor.

Members may introduce guests to the privileges of the clubhouse and course on payment of the appropriate green fees and registration in the Professional Shop.   Members should not introduce the same guest on more than six occasions in any one-year.

The Member concerned is responsible for the behaviour and the dress of his or her guest.

Rules of the Game

The rules of the game of golf shall be those adopted from time to time by the Royal and Ancient Golf Club of St. Andrews, subject to such local rules as The Management or the Directors in consultation with the Members' Committee may make from time to time.

Decisions Affecting Play

In the first instance, The Management, represented by the Club Secretary, will be the final arbiter in all instances when the course is open for play.   When extreme weather conditions prevail, and in the absence of the Club Secretary, the decision to close the course will be the responsibility of the Head Green Keeper, or in his absence, the Assistant Green Keeper.  If the Club Secretary and Green Keepers are unavailable to make this decision, the Professional in consultation with the Captain will make the decision.

Competitions

Competitions will be held at such times and under such conditions and regulations as the Members' Committee determine.  The Members' Committee may, after consultation with the donor or founder of a competition, alter the rules.  A donor or founder of a competition who is no longer a Member of Woodlands Manor will have no right of consultation or control over the rules of a competition.

Visitors

Visitors may play the course on a weekday providing there is availability.     The number of visitors allowed on any one day will be at the discretion of the Professional.

Visitors may play the course at a weekend after 1.00pm providing there is availability.  They must have a valid Certificate of Handicap, signed by the Secretary of their Golf Club.   The number of visitors allowed on any one day will be at the discretion of the Professional.

Any person may, at the discretion of The Management, become a temporary member for a short period, on payment of the necessary fees.

Liability

Members, guests and visitors are responsible for any property they bring onto the premises and should take due care and diligence to secure the safety of such property.

Woodlands Manor and Woodlands Manor Members Ltd have Third Party cover for its Members, but all members are responsible for their own personal insurance at all times and should be aware of their personal liability to members of the public and other golfers.
